1. Scope; Relationship to Base Terms
This Spekter City Blockchain, TON and Reward Pool Addendum (this “Addendum”) supplements the Spekter Games Inc. Terms of Service (the “Base Terms”). This Addendum applies only to Spekter City and to blockchain-enabled functionality, wallet connectivity, TON/SPEK/token-related matters, gameplay reward distribution mechanics, and related on-chain services made available in connection with Spekter City (collectively, the “Blockchain Features”).
This Addendum does not apply to Spekter Agency or any other non-Spekter City product unless the Company expressly states otherwise in product-specific terms.
Capitalized terms not defined in this Addendum have the meanings given in the Base Terms. If this Addendum conflicts with the Base Terms, this Addendum controls solely for the Blockchain Features.
2. Parties and Roles
Spekter Games Inc. is responsible for gameplay functionality, game publishing, software, intellectual property, user accounts, and related platform services for Spekter City.
Nexion Inc., a Panama corporation (“Nexion”), independently administers certain blockchain-enabled functionality, digital asset integrations, wallet connectivity, gameplay reward distribution mechanics, reward pool administration, smart contract interactions, and related on-chain services for Spekter City (collectively, “Nexion Services”).
Nexion is not responsible for Spekter Agency or other Company products that do not expressly include Nexion Services. The Company is not a wallet provider, exchange, broker, dealer, money transmitter, custodian, bank, investment adviser, or fiduciary in connection with the Blockchain Features.
3. Definitions
“Covered Digital Assets” means any digital asset, token, coin, gas asset, wrapped asset, bridged asset, staked asset, protocol reward, on-chain reward, or similar blockchain-based asset used, referenced, integrated, distributed, or otherwise supported in connection with Spekter City, including SPEK and TON where applicable.
“SPEK” means the token named SPEK or any predecessor, successor, replacement, migration, wrapped, or bridged version of such token, if and when made available in connection with Spekter City or the broader Spekter ecosystem.
“TON” means The Open Network blockchain and/or the native TON coin, together with related wallet, smart contract, network fee, protocol, or integration functionality, if and when supported in connection with Spekter City.
“Gameplay Rewards” means non-token in-game gameplay points, scores, credits, reward metrics, leaderboard points, season points, or similar designations used solely to measure gameplay engagement or eligibility, including sTON or similar gameplay labels. Gameplay Rewards are not Covered Digital Assets unless and until an actual on-chain distribution is made by Nexion to an eligible user.
“Reward Pool” or “Spekter City Reward Pool” means a discretionary pool, budget, smart contract allocation, or other source of potential on-chain rewards that Nexion or another sponsor may make available for certain eligible Spekter City activities, seasons, events, leaderboards, campaigns, or gameplay periods.
“Wallet” means a third-party blockchain wallet, address, account, or signing tool that you connect or use in connection with the Blockchain Features.
4. Eligibility; Jurisdiction; Compliance Checks
The Blockchain Features are available only where permitted by applicable law, platform rules, and Nexion compliance requirements. You may not use the Blockchain Features if you are located, organized, resident, or ordinarily resident in a jurisdiction where the Blockchain Features are prohibited, restricted, or not offered.
You represent and warrant that you are not subject to sanctions administered or enforced by the United States, the United Kingdom, the European Union, the United Nations, Panama, or any other applicable governmental authority, and that you are not located, organized, or resident in a comprehensively sanctioned jurisdiction.
Nexion and the Company may require eligibility checks, sanctions screening, geofencing, wallet screening, anti-fraud review, age verification, identity verification, tax information, or other compliance measures before enabling access to the Blockchain Features or before processing any reward distribution. Failure to complete required checks may result in denial, suspension, cancellation, clawback, or non-payment of rewards.
5. Wallets; Private Keys; Non-Custody
The Blockchain Features may allow you to connect a compatible Wallet. You are solely responsible for selecting your Wallet, maintaining control of your private keys, seed phrases, passwords, devices, authentication methods, and wallet credentials, and verifying any wallet address or transaction before signing or submitting it.
Neither the Company nor Nexion takes custody of your Wallet or private keys. Unless expressly stated in separate written terms, neither the Company nor Nexion holds digital assets on your behalf, controls your Wallet, can recover your private keys, can reverse blockchain transactions, or can guarantee access to any Wallet or Covered Digital Asset.
You are responsible for losses arising from compromised devices, phishing, malware, lost credentials, mistaken transfers, incorrect addresses, unsupported assets, incompatible wallets, failed signatures, chain reorganizations, smart contract bugs, network congestion, or third-party wallet failures.
6. Gameplay Rewards; sTON; Leaderboards
Spekter City may include Gameplay Rewards, including sTON or similar gameplay labels. Gameplay Rewards are made available solely as part of the gameplay experience and user engagement mechanics of Spekter City.
Gameplay Rewards: (a) are not legal tender, money, bank deposits, stored value, securities, commodities, financial instruments, or digital assets; (b) do not constitute property; (c) do not represent an ownership interest, account balance, debt, or claim against the Company or Nexion; (d) have no guaranteed value; (e) are non-transferable; (f) may not be sold, assigned, traded, pledged, brokered, or transferred; and (g) may be modified, adjusted, revoked, reset, suspended, or discontinued at any time.
Our internal records, analytics, fraud controls, and gameplay systems are final and binding for purposes of calculating Gameplay Rewards, leaderboard rank, eligibility, and reward share, except in cases where we elect to correct errors or comply with law or platform rules.
7. Spekter City Reward Pool
Nexion or another sponsor may, in its discretion, establish a Reward Pool for a season, event, campaign, leaderboard, gameplay period, or other activity. A Reward Pool may be denominated in TON, SPEK, another Covered Digital Asset, fiat-equivalent budget, or another unit determined by Nexion or the applicable sponsor.
Reward Pool availability, size, timing, asset type, eligibility criteria, claim windows, distribution methods, caps, thresholds, minimums, maximums, rate limits, same-wallet requirements, geographic restrictions, and other rules may be set, modified, paused, or cancelled at any time, including after a season or event begins, where Nexion or the Company determines that doing so is appropriate to address legal, technical, platform, economic, compliance, security, fraud, abuse, or operational concerns.
Participation in Spekter City, earning Gameplay Rewards, appearing on a leaderboard, connecting a Wallet, or completing a task does not guarantee that you will receive any Covered Digital Asset, reward distribution, profit, yield, return, or other economic benefit.
Unless separate official rules expressly provide otherwise and only where permitted by law and platform rules, no purchase, payment, stake, wager, or deposit is required to earn Gameplay Rewards or participate in a Reward Pool. Paid Virtual Items, subscriptions, or purchases may not be used as consideration for a chance to receive a reward of real-world monetary value unless separately reviewed and permitted by applicable law and platform rules.
8. Reward Claims and Distributions
Subject to eligibility requirements, gameplay rules, compliance review, technical limitations, and applicable Additional Terms, certain users may be permitted to request or receive on-chain reward distributions associated with Gameplay Rewards or a Reward Pool.
Any distribution may be delayed, denied, reduced, suspended, cancelled, adjusted, clawed back, or reversed where Nexion or the Company determines that: (a) the user is ineligible; (b) the user violated the Base Terms, this Addendum, official rules, or platform rules; (c) the distribution would violate law; (d) sanctions or wallet screening fails; (e) fraud, Sybil activity, automation, farming, collusion, exploit use, duplicate accounts, or manipulation is suspected; (f) a technical, clerical, accounting, smart contract, or calculation error occurred; (g) a chargeback, payment dispute, or refund occurred; or (h) the Reward Pool is unavailable, exhausted, cancelled, or modified.
Nexion may require that any reward distribution be made only to the same Wallet address used in the applicable gameplay, claim, verification, or wallet connection flow. Nexion may decline to distribute to a different Wallet or to a Wallet that is unsupported, high-risk, sanctioned, flagged, incompatible, or otherwise ineligible.
Reward distributions, once sent to a blockchain network, may be irreversible. You are responsible for verifying that your Wallet supports the applicable network and asset.
9. TON, SPEK, Network Fees, and Smart Contracts
The Blockchain Features may interact with TON, SPEK, or other Covered Digital Assets. Support for any Covered Digital Asset may be added, modified, suspended, migrated, bridged, wrapped, replaced, or discontinued at any time.
You are responsible for all network fees, gas fees, transaction costs, bridge fees, wallet fees, exchange fees, taxes, and other third-party charges associated with your use of the Blockchain Features, unless expressly stated otherwise.
Smart contracts, blockchain networks, bridges, nodes, indexers, wallets, oracles, decentralized exchanges, and other blockchain infrastructure may be experimental, unaudited, vulnerable, unavailable, congested, forked, exploited, censored, or changed by third parties. Neither the Company nor Nexion guarantees that any blockchain network, Wallet, smart contract, bridge, asset, or integration will operate as expected.
Neither the Company nor Nexion is responsible for changes in the price, liquidity, volatility, market availability, tax treatment, legal status, or regulatory treatment of any Covered Digital Asset.
10. No Investment Product; No Professional Advice
The Blockchain Features are intended to support gameplay, entertainment, user engagement, and related technology functionality. Nothing in the Base Terms, this Addendum, the Services, the Blockchain Features, marketing materials, community communications, or product roadmap constitutes investment advice, financial advice, legal advice, tax advice, accounting advice, brokerage services, banking services, money transmission services, commodity trading services, securities services, or an investment product.
Neither the Company nor Nexion guarantees any profit, yield, reward, return, appreciation, liquidity, listing, exchange support, redemption, buyback, market price, economic benefit, or future functionality for SPEK, TON, Gameplay Rewards, Reward Pools, or any Covered Digital Asset.
You should not rely on any information in the Services as a basis for any financial, legal, tax, or other decision. You are responsible for seeking independent professional advice from qualified advisors.
11. Taxes
You are solely responsible for determining whether any taxes, duties, reporting obligations, withholding obligations, or similar obligations apply to your use of the Blockchain Features or receipt, holding, sale, transfer, or disposition of any Covered Digital Asset.
Neither the Company nor Nexion is responsible for determining, collecting, reporting, or remitting taxes on your behalf unless expressly required by law. Nexion or the Company may request tax forms or information and may withhold, deny, or report rewards where required by law.
12. Anti-Fraud; Clawbacks; Enforcement
The Company and Nexion may use manual and automated systems to detect fraud, abuse, multi-accounting, Sybil activity, automation, bots, wallet clustering, suspicious transactions, prohibited jurisdictions, sanctions risk, exploit use, collusion, or other activity that may undermine the integrity of Spekter City or any Reward Pool.
The Company and Nexion reserve the right to claw back, reverse, invalidate, offset, adjust, burn, freeze, deny, or seek return of Gameplay Rewards or related reward distributions to the maximum extent technically and legally possible, including by reducing future rewards, disabling claims, banning accounts or Wallets, or pursuing legal remedies.
You agree not to take any action designed to manipulate Gameplay Rewards, leaderboards, eligibility, Reward Pool share, wallet screening, or reward distributions. You also agree not to use the Blockchain Features to launder money, finance terrorism, evade sanctions, facilitate illegal activity, or bypass platform payment rules.
13. Mobile and App Store Limitations
The Company and Nexion may disable, restrict, or modify Blockchain Features in mobile applications, app-store builds, specific jurisdictions, or specific platforms to comply with Apple App Store, Google Play, Telegram, payment provider, or other platform rules.
Where platform rules require app-store billing for digital goods or in-app functionality, you may not use TON, SPEK, another Covered Digital Asset, a Wallet, QR code, license key, external payment method, or other non-approved mechanism to unlock in-app features or functionality.
Blockchain Features may be accessible only through web, Telegram, or other supported channels and may not be available in Spekter Agency or in any iOS or Android build unless expressly stated in applicable Additional Terms.
14. Panama Administration; Transaction Location
Nexion administers the Nexion Services from Panama. To the maximum extent permitted by law, you acknowledge that Nexion Services, including reward distribution review and administration, are conducted by Nexion in Panama and are subject to the laws of the Republic of Panama.
To the extent Nexion makes an on-chain reward distribution to you, the parties intend that Nexion approval, distribution authorization, and any transfer of title or related legal effect by Nexion occur in Panama, regardless of where you are located, where you connect a Wallet, where a blockchain validator or node is located, or where you receive or access the distribution.
15. Suspension; Modification; Termination
The Company or Nexion may suspend, modify, restrict, or terminate any Blockchain Feature, Reward Pool, Covered Digital Asset support, Wallet integration, smart contract interaction, claim process, distribution method, or user access at any time, including to comply with law, platform rules, sanctions, security needs, technical constraints, market conditions, smart contract issues, governance decisions, or business changes.
Upon termination or suspension, you may lose access to Gameplay Rewards, pending claims, eligibility, leaderboard status, or Blockchain Features. Neither the Company nor Nexion has any obligation to continue any Reward Pool, maintain any asset support, or provide substitute rewards.
16. Disclaimers; Assumption of Risk; Limitation of Liability
THE BLOCKCHAIN FEATURES, NEXION SERVICES, GAMEPLAY REWARDS, REWARD POOLS, WALLET CONNECTIVITY, SMART CONTRACTS, TON, SPEK, AND OTHER COVERED DIGITAL ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. YOU ASSUME ALL RISKS ASSOCIATED WITH BLOCKCHAIN TECHNOLOGY, DIGITAL ASSETS, WALLETS, SMART CONTRACTS, NETWORK FEES, MARKET VOLATILITY, CYBERSECURITY, REGULATORY CHANGE, TAX TREATMENT, AND THIRD-PARTY INFRASTRUCTURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR NEXION WILL BE LIABLE FOR LOST PROFITS, LOST TOKENS, LOST REWARDS, LOST PRIVATE KEYS, WALLET COMPROMISE, SMART CONTRACT EXPLOITS, NETWORK FAILURES, MARKET LOSSES, PRICE CHANGES, FORKS, BRIDGE FAILURES, INCORRECT WALLET ADDRESSES, FAILED TRANSACTIONS, DELAYED DISTRIBUTIONS, DENIED CLAIMS, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE COMPANY AND NEXION FOR CLAIMS ARISING OUT OF OR RELATING TO THIS ADDENDUM OR THE BLOCKCHAIN FEATURES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID DIRECTLY TO THE COMPANY OR NEXION FOR THE BLOCKCHAIN FEATURE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) 100 PANAMANIAN BALBOA (PAB).
17. Governing Law; Disputes Involving Nexion Services
Disputes arising from gameplay functionality, software, platform access, intellectual property, user accounts, or related Company platform services remain subject to the governing law and dispute resolution provisions of the Base Terms.
Any dispute, claim, or controversy arising out of or relating to Nexion Services, Blockchain Features administered by Nexion, wallet integrations, reward distributions, Reward Pools, Covered Digital Assets, or related on-chain services will be governed by the laws of the Republic of Panama, without regard to conflict of law principles, except where applicable law requires otherwise.
Except where prohibited by applicable law, disputes involving Nexion Services will be resolved through binding individual arbitration administered in English by the Panama Conciliation and Arbitration Centre under its applicable rules. The seat and place of arbitration will be Panama City, Panama, unless the parties agree otherwise.
YOU, THE COMPANY, AND NEXION EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, REPRESENTATIVE, COLLECTIVE, OR CONSOLIDATED ACTION.
